Welcome to ValuePoint Health, LLC (“ValuePoint Health,” “VPHealth,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access and use of:
ValuePoint Health Services, including telehealth and healthcare navigation services.
VPHealth One Mobile App (the “App”), a platform for accessing telehealth, chronic care, and behavioral health services.
VPHealth One (VPHealth Smart Health and VPHealth Smart Health Plus) is our speech-based assessment and analytics tool for behavioral health and cognitive evaluations.
By accessing or using our services, you agree to these Terms. If you disagree, please don’t use our services.
1. Eligibility
You must be at least 18 years old (or the legal age of majority in your state) to use our services.
If accessing services for a minor, you represent that you are their parent, guardian, or legal representative.
Services are currently offered to individuals located in Missouri and other approved U.S. states where ValuePoint Health operates.
2. Medical Disclaimer
VPHealth does not replace your relationship with your primary care provider.
Our telehealth clinicians are licensed professionals, but services may be limited by state regulations.
VPHealth One (VPHealth Smart Health and VPHealth Smart Health Plus) provides data-driven insights, but it is not a diagnostic tool. Clinical decisions should be made by licensed professionals.
In case of a medical emergency, call 911 immediately.
3. Services Provided
ValuePoint Health offers:
Behavioral & Mental Health Services (depression, anxiety, Alzheimer’s support, etc.).
Chronic Care Management (diabetes, weight loss, hormone therapy).
Healthcare Navigation & Support Services.
VPHealth One Mobile App for secure telehealth access, scheduling, messaging, and records.
VPHealth One, VPHealth Smart Health, and VPHealth Smart Plus for interactive-based behavioral and cognitive assessments via Telehealth.
4. Independent Provider Disclaimer & Liability
Independent Professional Relationship: Licensed healthcare providers (physicians, therapists, nurse practitioners, counselors, or other clinicians) who deliver telehealth or in-person services through the ValuePoint Health platform are independent professionals. They are not employees, partners, or agents of ValuePoint Health, LLC.
Professional Responsibility: Each provider is solely responsible for the professional, clinical, and ethical quality of the services they provide, and for complying with all applicable laws, licensing regulations, and professional standards.
No Liability for Malpractice: ValuePoint Health does not practice medicine, does not provide medical care directly, and shall not be liable for any professional negligence, malpractice, misconduct, or failure to meet standards of care by providers.
Missouri-Specific Compliance: In accordance with the laws of the State of Missouri, all providers are required to maintain appropriate licenses and malpractice insurance. Patients understand that any malpractice claims must be brought against the individual provider, not ValuePoint Health, LLC.
5. User Responsibilities
By using our services, you agree to:
Provide accurate and truthful information.
Use the App and VPHealth One, VPHealth Smart Health, and VPHealth Smart only for personal, lawful purposes.
Not misuse, copy, reverse engineer, or distribute our software, algorithms, or content.
Maintain the confidentiality of your login credentials.
6. Privacy & Data Use
Your information is protected under our Privacy Policy and in compliance with HIPAA.
By using VPHealth One (including VPHealth One, VPHealth Smart Health, and VPHealth Smart), you consent to the recording and analysis of speech data, which may be stored, encrypted, and used for healthcare purposes.
We may use de-identified and aggregated data to improve services, conduct research, and support innovation.
7. Payments and Subscriptions
Some services may require payment or a subscription. Fees are disclosed before you confirm a transaction.
Payments are securely processed through our authorized payment providers.
You are responsible for all charges associated with your account.
8. Intellectual Property
All content, software, algorithms, and tools (including the VPHealth One, VPHealth Smart Health, VPHealth Smart Health Plus) are the exclusive property of ValuePoint Health, LLC.
You may not copy, modify, or create derivative works without written consent.
9. Limitation of Liability
To the fullest extent permitted under Missouri law:
ValuePoint Health LLC is not liable for:
Technical failures, system downtime, or connectivity issues.
Misuse of the App (including VPHealth One, VPHealth Smart Health, and VPHealth Smart Health Plus), or telehealth services.
Outcomes resulting from incomplete or inaccurate information you provide.
Our total liability shall not exceed the amount you paid (if any) for services in the past 12 months.
10. Dispute Resolution & Governing Law
These Terms shall be governed by the laws of the State of Missouri, without regard to conflicts of law principles.
Any dispute shall first be attempted to be resolved through informal resolution.
If unresolved, disputes may be submitted to binding arbitration in Missouri, unless otherwise prohibited by law.
You waive any right to a jury trial or participation in a class action to the maximum extent allowed by law.
11. Third-Party Services
VPHealth One Mobile App (including, VPHealth Smart Health, VPHealth Smart Health Plus) may integrate with third-party tools (EHRs, payment systems, etc.).
We are not responsible for third-party content, privacy practices, or actions.
12. Termination
We may suspend or terminate your account if you:
Violate these Terms.
Engage in fraudulent, harmful, or unlawful behavior.
Misuse of telehealth or any of our tools (VPHealth One, VPHealth Smart Health, and VPHealth Smart Health Plus).
You may terminate your account at any time by contacting support.
13. Changes to Terms
We may update these Terms periodically. Any updates will be posted on our website and App. Continued use constitutes acceptance of the revised Terms.
14. Disclaimer
VPHealth One, VPHealth Smart Health, and VPHealth Smart Health Plus are digital health assessment and decision-support tools intended to assist licensed healthcare providers and patients in understanding behavioral health patterns over time.
VPHealth services do not provide medical diagnosis, treatment, or clinical decision-making.
All clinical interpretation, diagnosis, and treatment decisions remain the sole responsibility of the licensed provider.
VPHealth does not replace professional judgment or a clinical evaluation.
VPHealth operates in compliance with HIPAA and applicable privacy laws.
Patients experiencing a medical or psychiatric emergency should seek immediate professional care.
